MissionZero.org Terms and Conditions of Use

Introduction

The MissionZero.org online community (including all Content available through the MissionZero.org domain name, the "Site") is operated by Interface, Inc. ("Interface"), an Atlanta, Georgia (USA) based manufacturer of carpet products. By using the Site or uploading or downloading materials from the Site, you agree to abide by the terms and conditions set forth in this notice (the "Agreement"). If you do not agree to abide by these terms and conditions, you are not permitted to use the Site and/or upload or download materials from the Site.

Your Acceptance

By using and/or visiting the Site, you signify your agreement to (a) these terms and conditions of use (the "Terms of Use"), (b) the MissionZero.org Privacy Policy, found at http://missionzero.org/privacy and incorporated here by reference, and (c) our Community Guidelines, found at http://missionzero.org/guidelines and also incorporated here by reference. These Terms of Use apply to all users of the Site, including users who are also contributors of content, information, and other materials or services on the Site.

Interface reserves the right to remove Content and User Submissions (as such terms are defined herein) that violate these provisions without prior notice. Interface may, in its sole discretion, modify or revise these Terms of Use and policies at any time, and you agree to be bound by such modifications or revisions. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.

Links to Third-Party Sites

The Site may provide links to third-party websites operated by other entities. If you use these sites, you will leave this Site. If you decide to visit any linked site, you do so at your own risk, and it is your responsibility to take all measures to guard against viruses or other destructive elements. Interface has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites. In addition, Interface will not and cannot censor or edit the content of any third-party site. By using the Site, you expressly relieve Interface, its subsidiaries, and affiliates from any and all liability arising from your use of any third-party website.

User Accounts

In order to access some features of the Site, you will have to create a MissionZero.org user account. You are solely responsible for the activity that occurs on your account, and you should take all appropriate steps to keep your account password secure. You must notify Interface immediately of any breach of security or unauthorized use of your account.

Permissions and Restrictions

Interface hereby grants you permission to access and use the Site as set forth in these Terms of Use, provided that:

• You agree not to distribute any part of the Site, including but not limited to User Submissions (as defined below), without Interface's prior written authorization.
• You agree not to use the Site for any commercial use without the prior written authorization of Interface. Prohibited commercial uses include any of the following actions taken without Interface's express approval:
  1. Sale of access to the Site;
  2. use of the Site for the primary purpose of gaining advertising or subscription revenue; and
  3. the sale of advertising, either on the Site or any third-party website, targeted to the content of specific User Submissions or MissionZero.org Content.
     • Prohibited commercial uses do not include:
       1. uploading original content to the Site; and
       2. any use that Interface expressly authorizes in writing.
          • You agree not to use or launch any automated system, including without limitation, "robots," "spiders," or "offline readers," that accesses the Site in a manner that sends more request messages to the MissionZero.org servers in a given period of time than a human can reasonably produce in the same period by using a conventional online web browser. Notwithstanding the foregoing, Interface grants the operators of public search engines permission to use spiders to copy materials from the Site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials. Interface reserves the right to revoke these exceptions either generally or in specific cases. You agree to neither collect nor harvest any personally identifiable information, including account names, from the Site, nor to use the communication systems provided by the Site (e.g. comments, email) for any commercial solicitation purposes.
            Interface reserves the right to discontinue any aspect of the Site at any time.

Use of Content on the Site

In addition to the general items set forth above, the following restrictions and conditions apply specifically to your use of Content on the Site:

• The Content on the Site, except all User Submissions (as defined below), including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features, and the like ("Content"), and the trademarks, service marks, and logos contained therein ("Marks") are owned by or licensed to Interface, its subsidiaries, or affiliates, and are subject to copyright and other intellectual property rights under applicable law. Content on the Site is provided to you AS IS for your information and personal use only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of its respective owners. You may access Content, User Submissions, and other content only as permitted under this Agreement. Interface reserves all rights not expressly granted in and to the Site and the Content.
• You may access User Submissions solely:
  1. for your information and personal use; and
  2. as intended through the normal functionality of the Site.

You agree to not engage in the use, copying, or distribution of any of the Content other than expressly permitted herein, including any use, copying, or distribution of User Submissions of third parties obtained through the Site for any commercial purposes.

You agree not to circumvent, disable, or otherwise interfere with security-related features of the Site or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Site or the Content therein.

You understand that when using the Site, you will be exposed to User Submissions from a variety of sources and that Interface is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Submissions. You further understand and acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Interface, its subsidiaries, and affiliates with respect thereto. You further agree to indemnify, defend, and hold harmless Interface, its subsidiaries, and affiliates to the fullest extent allowed by applicable law regarding all matters related to your use of the Site.

User Submissions

As a MissionZero.org account holder, you may upload textual, graphical, and/or video content ("User Submissions"). You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. Interface does not endorse any User Submissions or any opinion, recommendation, or advice expressed therein, and expressly disclaims any and all liability in connection with User Submissions. In connection with User Submissions, you affirm, represent, and/or warrant that (a) you will not submit material that is contrary to the MissionZero.org Community Guidelines (found at http://missionzero.org/guidelines), which may be updated from time to time, or contrary to applicable local, national, and international laws and regulations, (b) you own or have the necessary licenses, rights, consents, and permissions to use, and in turn authorize Interface to use, all patent, trademark, trade secret, copyright, or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Site and these Terms of Use, and (c) you will not submit material that is copyrighted, protected by trade secret, or otherwise subject to third-party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Interface all of the license rights granted herein. Interface reserves the right to remove all User Submissions that violate these provisions without prior notice.

You retain all of your ownership rights in your User Submissions. However, by submitting User Submissions to the Site, you hereby grant Interface a worldwide, non-exclusive, royalty-free, sub-licenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Site and Interface's, its subsidiaries', and affiliates' business, including without limitation for promoting the Site in any media formats and through any media channels. You also hereby grant each user of the Site a non-exclusive license to access your User Submissions through the Site and to use, reproduce, distribute, display, and perform such User Submissions as permitted through the functionality of the Site and under these Terms of Use.

Infringement/Account Termination

Interface does not permit copyright infringing activities and infringement of intellectual property rights on its Site, and Interface will remove all Content and User Submissions if properly notified that such Content or User Submission infringes on another's intellectual property rights. Interface reserves the right to remove Content and User Submissions without prior notice. Interface will terminate a user's access to the Site if, under appropriate circumstances, they are determined to be a repeat infringer.

If you are a copyright owner and believe that any User Submission or other Content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") in the manner described in the MissionZero.org DMCA Infringement Notification Policy, found at http://missionzero.org/dmca.

Interface reserves the right to decide whether Content or a User Submission is appropriate and complies with these Terms of Use for violations other than copyright infringement, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. Interface may remove such User Submissions and/or terminate a user's access for uploading such material in violation of these Terms of Use at any time, without prior notice and at its sole discretion.

Warranty/Limitation of Liability/Indemnification

You agree that your use of the Site shall be at your sole risk. To the fullest extent permitted by law, Interface, its officers, directors, employees, and agents disclaim all warranties, express or implied, in connection with the Site and your use thereof. Interface makes no warranties or representations about the accuracy or completeness of the Site's Content or the content of any sites linked to this Site and assumes no liability or responsibility for any (a) errors, mistakes, or inaccuracies of Content, (b) personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the Site, (c) any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein, (d) any interruption or cessation of transmission to or from the Site, (e) any bugs, viruses, trojan horses, or the like which may be transmitted to or through the Site by any third party, and/or (f) any errors or omissions in any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted, or otherwise made available via the Site. Interface does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Site and will not be a party to or in any way be responsible for monitoring any transaction between you and third-party providers of products or services.

In no event shall Interface, its employees, directors, agents, subsidiaries, or affiliates be liable to any person or entity for any direct, indirect, special, consequential, or other damages (including, without limitation, any lost profits, business interruption, loss of information or programs or other data on your information handling system) that are related to the use of, or the inability to use, the Content, materials, and functions of the Site or any linked website, even if Interface has been expressly advised of the possibility of such damages. YOU SPECIFICALLY ACKNOWLEDGE THAT INTERFACE SHALL NOT BE LIABLE FOR THE APPEARANCE OR CONTENT OF USER SUBMISSIONS, OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY, AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

You agree to defend, indemnify, and hold harmless Interface, its subsidiaries, and affiliates, as well as their respective officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to reasonable attorney's fees) arising from (a) your use of and access to the Site, (b) your violation of any term of these Terms of Use, (c) your violation of any third-party right, including without limitation, any copyright, property, or privacy right, or (d) any claim that one of your User Submissions caused damage to a third party.

Miscellaneous

You agree that the Site shall be deemed solely based in the state of Georgia, USA, and (b) the Site shall be deemed a passive website that does not give rise to personal jurisdiction over Interface in jurisdictions other than the state of Georgia. These Terms of Use shall be governed by the internal, substantive laws of the state of Georgia, without respect to its conflict of laws principles. Any claim or dispute between you and Interface that arises in whole or in part from the Site shall be decided exclusively by a court of competent jurisdiction located in Cobb County, Georgia (USA). These Terms of Use, together with the Privacy Policy (found at http://missionzero.org/privacy), the Community Guidelines (found at http://missionzero.org/guidelines), and any other legal notices published by Interface on the Site shall constitute the entire agreement between you and Interface concerning the Site. If any provision of these Terms of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. No waiver of any term of this these Terms of Use shall be deemed a further or continuing waiver of such term or any other term, and Interface's failure to assert any right or provision under these Terms of Use shall not constitute a waiver of such right or provision. Interface reserves the right to amend these Terms of Use at any time and without notice.
